AWALLET Terms of Use

These Terms of Use (hereinafter referred to as the “Agreement”) explain the terms and conditions under which you may access and use the Products provided by AWALLET (hereinafter referred to as “AWALLET,” “we,” “our,” or “us”). The Products include, but are not limited to: (a) the user interface located at https://awallet.life/ hosted on the website (the “Interface” or “Application”), (b) an aggregator of various third-party non-fungible token (“NFT”) marketplaces (hereinafter referred to as the “NFT Marketplace Aggregator”), (c) our mobile wallet application (“AWALLET Wallet”), and (d) any other products and services that reference this Agreement (collectively referred to as the “Products,” along with the Interface, Application, NFT Marketplace Aggregator, and AWALLET Wallet). You must carefully read this Agreement as it governs your use of the Products. By accessing or using any of the Products, you acknowledge that you have read, understood, and agree to be bound by this Agreement in full. If you do not agree, you are not permitted to access or use any of our Products and should not use our Products.

To access or use any of our Products, you must be able to enter into a legally binding contract with us. Accordingly, you confirm that you have reached the age of majority in your jurisdiction (e.g., 18 years old in the United States) and have the full legal right, authority, and capacity to enter into and comply with the terms and conditions of this Agreement on your behalf and on behalf of any company or legal entity for which you may access or use the Interface. If you are entering into this Agreement on behalf of an entity, you represent to us that you have the legal authority to bind such an entity.

You also confirm that you (a) are not the subject of economic or trade sanctions imposed or enforced by any governmental authority or are otherwise not listed on any prohibited or restricted parties list (including, but not limited to, the list maintained by the U.S. Department of the Treasury’s Office of Foreign Assets Control) or (b) are not a citizen, resident, or organization in a jurisdiction or territory that is subject to comprehensive sanctions.

Finally, you confirm that your access and use of any of our Products will fully comply with all applicable laws and regulations, and that you will not access or use any of our Products for conducting, promoting, or otherwise facilitating any illegal activities. 
NOTICE: This Agreement contains important information, including a mandatory arbitration clause and a class action waiver, both of which affect your rights regarding dispute resolution. Our Products are available to you only—and you should access any of our Products only if you fully agree to these terms. 
1.1 Interface 
The Interface provides web or mobile access to (a) a decentralized protocol on various public blockchains, including, but not limited to, Ethereum, which allows users to trade certain compatible digital assets (the “AWALLET Protocol” or “Protocol”); and (b) the NFT marketplace aggregator. 
The Interface is distinct from the Protocol and is one, but not the only, means of accessing the Protocol. AWALLET Products themselves include self-executing, open-source, or source-available smart contracts deployed on various public blockchains such as Ethereum and others. AWALLET does not control or operate any version of the Protocol on any blockchain network. By using the Interface, you understand that you are not buying or selling digital assets from us and that we do not operate any liquidity pools within the Protocol or control the execution of transactions within the Protocol. 

1.2 NFT Marketplace Aggregator 
The NFT Marketplace Aggregator consists of a series of smart contracts that allow you to discover, buy, and sell NFTs simultaneously on multiple third-party marketplaces (each referred to as a “Third-Party Marketplace”). 

1.3 AWALLET Wallet
AWALLET allows you to (a) store digital assets; (b) connect to third-party decentralized exchanges (“DEX”) and third-party decentralized applications; (c) view addresses and information that are part of digital asset networks and broadcast transactions; (d) participate in DEX trades and related DEX activities; and (e) use any additional services that we may add to the AWALLET Wallet from time to time. 

2. Your Obligations 
By using the Products, you confirm that you comply with all applicable laws and regulations, including those related to anti-money laundering, sanctions, terrorist financing, and customer identification requirements. If required by law, we may request documentation to verify your identity and eligibility to use our Products. Failure to meet this requirement may result in restrictions or termination of your access to our Products. 

3. Risks Associated with Using Digital Assets 
By using our Products, you acknowledge and accept all risks associated with interacting with digital assets and blockchain technologies, including but not limited to the following risks: 
- Price Volatility: Digital assets may experience significant price fluctuations, which can result in substantial losses. 
- echnical Risks: Blockchain software and cryptographic systems may be subject to bugs, failures, and vulnerabilities. 
- Legal Risks: Digital assets may be subject to regulation in various jurisdictions, which can impact your ability to use them. 
- **Cybersecurity:** Your digital assets may be at risk of theft, loss, or unauthorized access in the event of a security breach. 

We are not responsible for any losses you may incur as a result of using our Products.
4. Limitation of Liability 
AWALLET and its affiliates are not liable for any indirect, incidental, special, punitive, or consequential damages, including loss of profits, data, or usage, that may arise from your use of the Products, even if we have been advised of the possibility of such damages. Our maximum liability to you is limited to the amount you paid for the use of the Products or $30 USD, whichever is lower.

6. Intellectual Property 
We hold all intellectual property rights related to the Products and their content, including but not limited to software, text, images, trademarks, copyrights, and patents. You are granted a limited, non-exclusive, non-transferable license to access and use the Products for personal purposes, subject to compliance with the terms of this Agreement.

7. Termination of Use 
We reserve the right to suspend or terminate your access to the Products if you violate the terms of this Agreement, if necessary to ensure the security of our systems, or for any other reasons we deem necessary.

8. Arbitration and Class Action Waiver 
All disputes arising from your use of the Products will be resolved through mandatory arbitration. The arbitration will be conducted in accordance with the rules of the London Court of International Arbitration (LCIA). You also agree to waive the right to participate in class actions or any other representative proceedings.

9. Entire Agreement 
This Agreement, including the Privacy Policy and any additional terms posted on our website, constitutes the entire agreement between you and AWALLET regarding the use of the Products. All prior agreements and understandings regarding these matters are superseded.
10. Amendments 
We may make changes to this Agreement at any time by notifying you through the publication of an updated version on our website. Your continued use of the Products after such changes will be considered acceptance of the new terms.

11. Your Use of the Interface 
We do not control your actions when interacting with the Interface and cannot stop or attempt to reverse transactions once they are completed. There are strict rules: do not harm the Interface or other users. Additionally, you are responsible for any actions related to the Interface. Please carefully review the details and obtain additional information before interacting with virtual currencies on the Protocol.

By using or accessing the Interface, you represent and warrant that you understand there are numerous risks associated with virtual currencies and related technologies, including cryptography and blockchain. We are not responsible for any losses or damages associated with these risks. You acknowledge and agree that the Interface provides access to decentralized networks and technologies, and therefore, we do not control the blockchain or virtual currencies and cannot guarantee that any of your interactions will be confirmed on the relevant blockchain.

Key points you acknowledge: 
- Price data provided through the Interface does not constitute an offer or recommendation to trade. 
- The Interface does not act as an agent for users. 
- The Interface does not own or control the software through which blockchain networks are formed. 
- You are responsible for paying any taxes associated with using the Interface. 
- Despite the intention to provide accurate information, the Interface or tools may contain technical errors or inaccuracies. All decisions based on the information from the Interface are your sole responsibility.

12. Disclaimer 
Important! We do not provide any warranties regarding the Interface. This is a key point to read carefully. 
The Interface and code are provided "as is" and "as available," without any warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. 
We are not liable for any loss or damage to your personal data or virtual assets, including theft, loss, or mishandling of your private keys.

13. Arbitration and Class Action Waiver 
Any disputes between you and AWALLET are subject to mandatory arbitration and cannot be resolved in court. You also waive the right to participate in class actions. Arbitration will be conducted in accordance with the rules of the London Court of International Arbitration (LCIA) and will take place in English in London, United Kingdom.

14. Final Provisions 
We reserve the right to make changes to these terms at any time by posting an updated version on our website. Your continued use of the Interface signifies your agreement to the new terms.
